Gregg Shulklapper

Principal

Gregg is a seasoned corporate attorney with over eighteen years experience working with both emerging and established private and public companies as well as their investors and financial advisors. Gregg represents clients in a wide range of domestic and international corporate and transactional matters, including mergers and acquisitions, debt and equity financings, joint ventures, strategic alliances, business formation, corporate governance, restructurings, commercial contracts, executive employment agreements as well as equity incentive plans, consulting agreements, NDAs and non-competes. Gregg has extensive experience working with clients in the technology, telecom and media industries, but he also represents businesses and investors in a broad array of industries, including life sciences and real estate.

Prior to founding Shulklapper Associates, from 2005 to 2008 Gregg was Senior Vice President of Business Development and General Counsel of Iris Wireless, LLC, a technology solutions provider to mobile telecom operators. At Iris, Gregg was responsible for all aspects of the company's legal affairs, including structuring and negotiation of strategic alliances, customer and vendor agreements (including SLAs), technology licensing, corporate governance, intellectual property matters, litigation and federal, state and international law compliance. Gregg also served as point person for Iris' corporate development efforts, including the management of all of Iris financing transactions. Gregg also was instrumental in facilitating Iris' expansion into Asian markets, including China and Korea, as well as markets in Central and South America, where he developed, negotiated and nurtured key customer and strategic relationships.

Prior to his tenure with Iris, Gregg spent close to ten years with Willkie Farr & Gallagher, where he maintained a broad-based corporate and securities practice. At Willkie, Gregg represented clients on organizational and general business matters, venture capital and private equity investments, mergers and acquisitions, complex joint ventures and alliances, initial and secondary public offerings and private placements of debt and equity securities, bridge, mezzanine, secured and unsecured bank financings, workouts and restructurings, tender offers and Exchange Act reporting.

Gregg is a member of the Bar of the State of New York. He received his Juris Doctor in 1992 from Fordham University School of Law, where he was a staff member of the Fordham Law Review. Gregg received his Bachelor of Science in 1989 from Cornell University.
